12/15/2023 0 Comments Unfunded capital commitmentOgier's highly experienced fund finance specialists regularly act for banks, financial institutions, funds and sponsors on a wide range of fund finance transactions and many of our lawyers have been actively involved in drafting key legislation that underpins the fund structures in the jurisdictions that we operate. If there is any investment advisor or investment manager, the advisory / management agreement will need to be checked to ensure the GP has not delegated its power to call capital to the advisor or manager. If so, they will need to be considered in the context of the financing structure. In this article, we examine some of the key documentary due diligence points a lender and its counsel should consider when reviewing the LPA, investor subscription documents and related side letters.Īt the outset, the fund structure should also be reviewed to establish whether there are any feeder fund or alternative investment fund entities or any intermediate GPs. The second is a documentary review of the fund's and its GP's main constitutional and corporate documents, most notably the LPA, investor subscription documents and any side letters entered into between the fund and an investor in relation to the terms of the LPA. The first is an assessment of the identity and credit quality of each investor in the fund, to establish which investors will be included in the borrowing base calculation and then set the borrowing base at the appropriate level. Therefore, prior to entering into a capital call facility, a lender should focus its due diligence on two main elements. Only "eligible" investors to which the lender attributes a certain credit score will be included in the borrowing base calculations, with other investors in the fund being "excluded" investors whose capital commitments do not form part of the borrowing base or only being included (and then at a lower advance rate) if they meet certain additional information and due diligence requirements. Broadly, this caps the amount that may be outstanding under the facility at any time (together with hedging exposure and non-cash backed letters of credit) to the lesser of (a) the available commitments under the facility and (b) the aggregate of the uncalled capital commitments of each eligible investor as multiplied by a specified advance rate which is attributed to that investor, based on its credit quality. In addition to the security package outlined above, another key feature of capital call facilities is the "borrowing base". Where we refer to a "limited partner" or an "investor", this is a reference to a limited partner in such a fund. In this note, where we refer to a "fund" this is a reference to an investment fund established as an ELP. The Cayman Islands exempted limited partnership ( ELP) is a common vehicle used for structuring private equity funds and, where so structured, the security over the right to make capital calls and the right to receive proceeds of capital contributions will be granted by way of an assignment by the fund (acting through its general partner, referred to herein as its GP) of those rights as they arise under the fund’s Cayman Islands law governed limited partnership agreement ( LPA) and any applicable investor subscription documents. It will generally also include security over the bank account into which investors are required to deposit their capital contributions. "Capital call" facilities (also known as "subscription line" facilities) are facilities made available to funds (often on a revolving credit basis and for general working capital purposes) which are secured against the uncalled capital commitments of the investors in the fund including: (i) the right to make capital calls on investors in respect of their uncalled capital commitments, together with rights to enforce payments of them and (ii) the right to receive the proceeds of such capital calls. Pearlscale goldfish show how bizarre goldfish can become with selective breeding. Pearlscale goldfish (bottom is a juvenile) by nyleve They are also very fragile, and only a few breeders have successfully carried on the Philadelphia veiltail strain, one of which still resides in their home town. The veiltail must also have a dorsal that is longer than the body’s height, making them the goldfish with the longest dorsal fin comparative to size. By breed standards, a Philadelphia veiltail should have a caudal fin that is 1-2 times the body length and has little to no fork, giving it almost a “butterfly” appearance. The first veiltails were bred in Philadelphia, Pennsylvania, hence the reason why true veiltails are called “Philadelphia Veiltails”. They are also one of the only goldfish to originate outside of Japan. Veiltail goldfish have extremely long fins and only come in a few color morphs, some of which are white, gold, bi color and tri color. True veiltail goldfish are hard to come by, but if you have the pleasure of seeing one in person, their beauty is astounding. Contact an experienced and trained aquatic vet to do the job for you.Ī white veiltail courtesy of Gupp圜hampion The wen is a very delicate and sensitive organ, and there is a huge risk of infection or damage to the fish’s skin. Note: NEVER attempt to trim your fish’s wen at home. Orandas come in lots of different color morphs, including calico, panda, red cap and more. In some cases, the wen may even need to be trimmed if it covers the fish’s eyes. Although wens are beautiful, they are prone to infection if debris settles in between the folds. Older orandas can have stunning and beautiful wens that cover the entire face. Even then, the wen continues to grow through the fish’s entire life. The wen begins to grow at around 3-4 months of age, but is not fully developed until the fish is over a year old. But, the most impressive part of an oranda, is the large, fleshy growth on their head known as a wen. They are some of the largest varieties of fancy goldfish and can easily grow to 10 inches in body length. Orandas are very deep bodied goldfish with long flowing fins. Each variety of double tail requires different care based on unique needs. If you decide to keep a fancy, they will need at least a 40 gallon tank for two adults, but you may need to upgrade to 55 gallons or larger. Besides the jikin, watonai and wakin goldfish, fancy varieties don’t grow quite as large as their single tailed cousins and are very popular for aquariums. They have round bodies and a tail split into two parts. This group of goldfish are selectively bred for unique, and even strange characteristics. Imperial goldfish can come in almost any color type as of now.ĭouble tailed goldies are often referred to as “fancy goldfish”. High quality imperial goldfish have not yet been released onto the market, but culled fish from prized imperial strains are floating around. They have a body shape similar to a sabao not quite as round as a fantail, but more compact than a common. Like the shubunkin, these fish have metallic and nacreous scales many have a matte band near the center of their body. This fish has many variations due to a lack of outlined characteristics, but its said to become a round bodied bristol shubunkin. Imperial goldfish with a matte band from Īlthough not yet recognized as a breed to itself, many goldfish breeders in the US and UK are developing an imperial goldfish strain. Tamaryus are often the first to be culled in a spawn, but that does not mean they aren’t great pets. Tamasabas also posses a single anal fin, whereas tamaryu goldfish have two. This does not make them tamasaba goldfish, as true tamasabas must come from the hybrid strain. In almost all ryukin spawns, a few goldfish will be born with a single tail instead of a double one. Many times tamasaba goldfish are misidentified with tamaryu goldfish, which are actually a ryukin morph. Because of this, they should be housed in a tank no less than 60 gallons. They grow larger than ryukins, easily reaching 10 inches in length. Although they aren’t as fast as their slender bodied cousins, tamasaba goldfish make up for it in stature. These are large, hardy fish that flourish in ponds. The result is a goldfish with a round body and arched back that has a single anal and caudal fin. The Tamasaba goldfish is a very rare breed that developed by crossing a single tailed Syounai (no longer available) with a double tailed ryukin. They’ve bagged a star on the Hollywood Walk of Fame and, in 2022, were inducted into the Rock & Roll Hall of Fame. In the years since, they have sold more than 100 million albums and garnered gongs including eight Lifetime Achievement Awards, two Grammys, two Ivor Novellos and two Brit Awards. It was fast and rhythmic with zig-zagging guitar, a shimmering synthesizer, the melody and counter-melody elegantly interchangeable. Hailing from Birmingham, the lineup of Rhodes, Le Bon, John Taylor on bass, Roger Taylor on drums and intermittent guitarist Andy Taylor swept onto the music scene in 1981 to the strains of their debut single Planet Earth. It was forged from the same crucible of “artistic conflict” as all their other work, which sounds quite shouty, although Rhodes insists he and the rest of the band operate with the precision of a SWAT team once they get into a studio. Slick, schlocky and damn good fun, Danse Macabre is their 16th album and was made in a breathless six weeks during a break in touring. Industry behemoth Nile Rodgers produced new single, Dark Moonlight, which they performed this week on The Graham Norton Show. “I didn’t want to sound like Simon Le Bon doing a bad impersonation of Billie Eilish, I wanted to create something that was unique but recognisably Duran Duran, and I hope I’ve done that.”Īnyone surprised to learn of this crossover would probably be equally taken aback by their musical collaborations with Justin Timberlake and Janelle Monáe and Midas-touch producers such as Mark Ronson and Timbaland. “I can’t tell you how much we respect Billie Eilish and her approach to music she’s completely invented a whole new genre of vocalisation,” he says. But then Le Bon goes on to explain in expansive detail how he adopted the Hijaz – a mysterious-sounding scale that hails from the Middle East – for his vocals on the cover version of Bury a Friend. Seasonal entertainment that will make you smile simple as that.” Right. Singer Simon Le Bon, now 64, whose preternatural cheeks still possess Something of the Cherub, is less interested in the eldritch hinterland of their new recording. But then Rhodes points out they were also behind incontrovertibly edgy numbers such as Notorious and Hungry Like the Wolf, so yes, I suppose we have all felt that. Have we, though? For those of us who came of age in the 1980s, the very name Duran Duran tends to trigger a chorus of Rio and glorious visions of pretty boys in Antony Price silk suits cavorting on a yacht. “These tracks are designed to conjure up a sense of mystery and drama and capture the way humans are drawn to the perverse joy of mayhem once dusk falls. “It sounds right up my street in terms of theatricality, but this music isn’t intended just for a single day,” he clarifies, with an unsettling grin. Rhodes, 61, barks with laughter when I suggest the master copy could be shredded, like a Banksy, at the witching hour on October 31 in front of an audience dressed for a gothic masquerade. The 13-track release (no other number would do) features three new songs and several reworkings of old ones, along with various covers including Talking Heads’ Psycho Killer, Paint it Black by the Rolling Stones and the Billie Eilish hit Bury a Friend.Īlthough Hallowe’en makes for a splendid and spooky hook, I can’t help worrying that such a time-specific album is as niche as a non-fungible token. “It came about after we played a Hallowe’en gig in Vegas last year and decided to really go for it moments before the curtain went up, I was strewing roses across the stage and positioning coffins just-so to create the right ambience.” “We wanted to make something playful and have fun with the high camp imagery of fright night,” he adds. We are staking our claim for Hallowe’en with Danse Macabre the new soundtrack for dark mischief everywhere.” It’s an audacious bid but a convincing one, coming as it does from Duran Duran keyboardist Nick Rhodes, whose Warholian alabaster hair and otherworldly pallor have always conveyed Something of the Night. 12/15/2023 0 Comments Awaken my love streambut between his cartoonish exaggerations that occasionally slide towards campiness, often masking deeper wells of rage and self-loathing, and a genuine feeling of earnestness that can either hit transcendence or deeply felt awkwardness, he comes across as the sort of precocious yet driven creator who is not afraid to aim high, overshare, hit big and miss hard. Relistening to his debut Camp and his much-lauded follow-up Because The Internet will give you plenty of evidence why Childish Gambino is a compelling presence behind the microphone as a charismatic rapper and singer. There's an defined artistic style and voice that's always been present, that will then veer in unexpected directions made from a pastiche of indie music, southern hip-hop, and bizarre pop culture references, all amidst a creative mind that's incredibly ambitious but also painfully self-aware. The odd blend of styles and production - most outside of his mixtapes which are done in-house with producer Ludwig Goransson - that are present in his music often juxtapose with lyrics that often feel intensely personal or eclectic. Whether you know him from his comedy sketches to his writing work on 30 Rock to the cult classic Community to his soon-to-be classic show Atlanta, he's a man of extraordinary talent, and that's before we get to his stand-up or his work as a musician and songwriter.īut if I'm also being brutally honest, I feel I should like his music a lot more than I do. Hell, I get the feeling a lot of critics do, mostly because it's so damn rare to see an artist leap so fully formed and relentlessly talented across genres and indeed entire mediums. It might be nice to state that every coordinate field (at least, all I've tried!) accepts both lat/lon and relative coordinates. It's not an unusual coordinate system for the mathematically inclined, but an unexpected surprise. In the example for circle area features, could it be made clear what the orientation of the displayed angles is? Naively, I thought it was north = 0 and increasing clockwise (based on every other angle using the compass), but this actually has east = 0 and increasing anticlockwise. Perhaps there's a keyword required for the non-reversed setup, but the example doesn't list it, and suggests the reversed use field is optional. This can be seen in the example airport - if is edited to read "runway = rwy1", the LIMA point does not appear for either Runway 18 or 36. Sounds like "labelpos" is incorrectly overwriting "position".įor transitions, I've not been able to set up a working transition for a non-reversed runway - i.e. If "labelpos" comes first, it works correctly.
